Governance
A Board of Directors governs QSource. Board members are elected
by QSource membership and reflect our state’s diverse
population. Members include industry leaders, consumer advocates,
business leaders and Medicare beneficiaries.
Our board
provides careful financial and strategic oversight of QSource’s
work to improve and transform the quality of healthcare.
QSource is committed to the highest standards for business practices,
governance and public accountability. Our Board supports greater
transparency in the healthcare system, as well as our own achievements
in contributing to measurable improvement in quality healthcare.
QSource recently adopted the Standards for Organizational Integrity,
developed for quality improvement organizations by the American
Healthcare Quality Association to respond to public expectations
for transparency.
Number
of members: Not more than fifteen, not
more than 6 physician directors, and not more than 9 consumer
representatives, at least one of whom is a Medicare beneficiary
Length of Appointment: 3 year term
Cap on Service: 2
successive terms. Note: Revised Bylaws effective 1/1/2007
allows for not more than 3 directors in office as of
the effective date of the revised bylaws, who served in terms
that in aggregate are more than 6 years less but than 12 years
are eligible to serve until the expiration of his/her current
term.
When appointments are made: Directors are elected by the membership
of the organization. Election Results are announced at the annual
meeting of the organization. Appointments to the Board by the
Directors can be made only in the event of a mid-term vacancy
to fill the seat until the end of the term.
% of governing body appointed each year: 33.3% of Board terms
end each year.
Board Compensation: Board compensation is set by an independent,
authorized body and is $125.00 per hour.
